Customer Agreement (End-User License Agreement)

This Customer Agreement (“Agreement”) is a legal agreement between you (“you” or “Customer”) and Schaun Johnson, who publishes software under the trade name SKJ APPS (“SKJ APPS,” “we,” “us,” or “our”), the developer and licensor of the UninstallGuard application for macOS (“UninstallGuard” or the “App”).

By downloading, installing, activating, or using UninstallGuard, you agree to this Agreement. If you do not agree, do not install or use the App.

1. Who this Agreement is between

The App is licensed to you, not sold, by SKJ APPS. SKJ APPS retains all right, title, and interest in the App and all rights not expressly granted to you in this Agreement.

Where you obtain UninstallGuard through a distribution marketplace such as the Setapp Marketplace, that marketplace and its operator are your point of purchase and provide the download to you. Section 4 explains the role of Setapp in more detail. Where you obtain UninstallGuard directly from our website, your purchase is handled by our Merchant of Record as described in Section 4.

2. License grant

Subject to your compliance with this Agreement, SKJ APPS grants you a personal, non-exclusive, non-transferable, revocable license to install and use UninstallGuard on Mac computers that you own or control, for your own personal or internal business use. Your license is for the number of installations permitted by the marketplace or plan through which you obtained the App; for direct purchases, this is up to three (3) Macs at one time.

The direct purchase is a one-time purchase and not a subscription. A license is intended for use by one individual and may not be shared among multiple users unless we expressly offer, or your marketplace plan provides, a multi-user or organizational license.

3. What you may not do

You agree that you will not, and will not permit anyone else to:

4. Purchases through Setapp and direct purchases (merchant of record)

If you obtain UninstallGuard through the Setapp Marketplace operated by MacPaw (“Setapp”), you acknowledge and agree that:

If you obtain UninstallGuard directly from our website, your purchase is processed by Paddle, which acts as the Merchant of Record for that sale and may handle billing, invoicing, applicable sales tax or value-added tax, refunds, chargebacks, and related transaction matters under its own terms and policies. In all cases, your purchase, billing, and refunds are handled by the applicable merchant of record, while your use of the App itself is governed by this Agreement.

5. Ownership and intellectual property

UninstallGuard, including its software, design, text, graphics, icons, and the “UninstallGuard” name and logo, is owned by SKJ APPS and is protected by copyright and other intellectual-property laws. This Agreement gives you a license to use the App; it does not transfer any ownership to you. All rights not expressly granted are reserved by SKJ APPS.

UninstallGuard includes open-source components, including the Sparkle update framework, that are provided under their own licenses. Those licenses continue to apply to those components, and nothing in this Agreement limits your rights under them.

6. Updates

SKJ APPS may release updates, bug fixes, and new versions of UninstallGuard from time to time. Updates are normally delivered through the marketplace you obtained the App from (for example the Setapp Marketplace) or, for direct installs, through the app's own update mechanism. Your license includes updates and future versions we make available for the App at no additional charge. Updates may add, change, or remove features. This Agreement applies to any update unless the update comes with its own separate terms.

7. Privacy

UninstallGuard is built to keep your data on your Mac. How the App handles data is described in the UninstallGuard Privacy Policy at https://uninstallguard.app/setapp-privacy, which is part of this Agreement by reference. Please read it.

8. Disclaimer of warranties

To the maximum extent permitted by law, UninstallGuard is provided “as is” and “as available”, without warranty of any kind, whether express, implied, or statutory. SKJ APPS disclaims all implied warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. SKJ APPS does not warrant that the App will be uninterrupted, error free, or compatible with every Mac or macOS version, or that it will prevent data loss. You are responsible for maintaining appropriate backups of your data and system.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you. Nothing in this Agreement affects any statutory rights you have as a consumer that cannot be waived.

9. Limitation of liability

To the maximum extent permitted by law, SKJ APPS will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, files, profits, or goodwill, arising out of or related to your use of or inability to use UninstallGuard, even if SKJ APPS has been advised of the possibility of such damages.

To the maximum extent permitted by law, the total liability of SKJ APPS for all claims relating to UninstallGuard will not exceed the amount you actually paid for the App, or, if you obtained the App as part of a marketplace plan or bundle, a reasonable amount attributable to the App.

10. Termination

This Agreement and your license last until terminated. Your license ends automatically if you break any of its terms. You may end it at any time by deleting UninstallGuard and stopping all use of it. On termination you must stop using the App and remove it from your Mac. Sections that by their nature should survive termination (including ownership, restrictions, disclaimers, limitation of liability, and governing law) will survive.

11. Changes to this Agreement

SKJ APPS may update this Agreement to reflect changes to the App or to legal requirements. When we make a material change, we will post the updated Agreement at https://uninstallguard.app before it takes effect. Your continued use of UninstallGuard after an update means you accept the updated Agreement.

12. Governing law

This Agreement is governed by the laws of the State of Michigan, United States, without regard to its conflict-of-laws principles, except where mandatory consumer-protection laws of your country of residence provide otherwise. Nothing in this section deprives a consumer of any protection or forum that cannot lawfully be waived.
